This licence agreement (“Agreement”) is between you, the licensee named on the order (“you”), and Samyam Ray, trading as Cerberon, Chennai, Tamil Nadu, India, Udyam registration UDYAM-TN-02-0522444 (“Cerberon”, “we”, “us”). It governs the Cerberon software, including its installer, updates, rule packs and documentation (the “Software”). It forms part of our Terms of Service. By installing or using the Software you accept this Agreement.
1. Licence grant
Subject to this Agreement and payment of the fees, we grant you a non-exclusive, non-transferable, non-sublicensable licence to install and use the Software on one production instance, for your own internal business purposes, by any number of your employees and contractors. There is no limit on users, projects or scans. Additional instances need additional licences, which we quote separately.
2. Licence types
- Annual licence. Valid for the 12-month term on the order. It includes every feature update released during the term and priority support. It also includes one manual penetration test in each term, of one web or mobile application, with one retest, delivered as Services under our Terms of Service and a Statement of Work. The test must be carried out within the term, does not carry over to a later term and has no cash value. If the licence is not renewed, the instance becomes read-only after a short grace period, so your existing findings and reports remain readable. Renewing restores full use.
- Perpetual licence. A perpetual licence to the version of the Software available to you when your update entitlement ends. It includes updates for 12 months from issue, and email support for the same 12 months, with replies within two business days. That support period is fixed and does not extend. After that, the Software keeps working with every capability you were licensed for. A perpetual licence does not include a penetration test.
- Support renewal. For perpetual licences, an optional annual renewal that extends updates and email support by 12 months.
The Software checks its licence with our licence service. A licence is bound to the machine it is issued for. Moving it to another machine is done through Cerberon support.
3. Restrictions
You will not, and will not allow anyone to:
- copy, sell, rent, lease, sublicense or distribute the Software, or provide it to third parties as a hosted or managed service, except with our written agreement,
- reverse engineer, decompile or disassemble the Software, except to the extent the law expressly permits despite this restriction,
- remove, bypass or tamper with licence checks, signatures or notices,
- decrypt or extract the Software’s rule packs for use outside the Software, or
- use the Software in breach of the Acceptable Use Policy, including against any system you are not authorised to test.
4. Authorised testing
The Software performs security tests that can affect the systems tested. You are solely responsible for making sure you own, or have written permission to test, every target you configure, and for complying with the laws that apply to your testing, including India’s Information Technology Act, 2000 and, where relevant, the United States Computer Fraud and Abuse Act.
5. Your data and third-party services
The Software runs on infrastructure you control. You own all data you process with it, and we have no access to it. If you connect an AI provider, registry, cloud account or other third-party service, your use of that service is governed by your agreement with its provider, and you decide what is sent to it.
6. Third-party components
The Software includes third-party and open-source components, each licensed under its own terms, which are included with the Software. Nothing in this Agreement limits your rights under those licences.
7. Updates and support
During your update entitlement, we make new releases available. Updates are never applied to your instance automatically. An administrator chooses when to apply them. Support is provided by email on business days in Indian Standard Time. Annual licence holders get priority support, and we aim to respond to them within one business day. Perpetual licence holders with a current update entitlement get replies within two business days. There is no limit on the number of support requests.
8. Warranty
For 30 days after a licence is first issued, the Software will perform substantially as described in its documentation. If it does not, tell us within that period and we will, at our option, fix the problem or refund the licence fee, which is your sole remedy. Otherwise, and to the extent the law allows, the Software is provided “as is”, without other warranties, express or implied. The Software helps you find security weaknesses. It does not guarantee that it finds all of them.
9. Limitation of liability
To the extent the law allows, we are not liable for indirect, incidental, special or consequential losses, or for loss of profits, revenue, data or goodwill. Our total liability under this Agreement is limited to the licence fees you paid in the 12 months before the event giving rise to the claim.
10. Export and sanctions
You will comply with the export control and sanctions laws that apply to you and to the Software, and will not use or provide the Software to any person or place where that would breach those laws.
11. Term and termination
This Agreement lasts for the term of your licence, or for a perpetual licence indefinitely, unless terminated. We may terminate it by written notice if you materially breach it and do not fix the breach within 30 days. On termination you must stop using the Software and uninstall it. Sections 3 to 6, 8, 9 and 12 survive termination.
12. Governing law
This Agreement is governed by the laws of India, and the courts at Chennai, Tamil Nadu have exclusive jurisdiction, as set out in our Terms of Service.
